Terms of Use – PayTradie

These Terms govern your use of services provided by Pay Tradie Limited, a company registered in New Zealand under the Companies Act 1993 (“PayTradie”, “we”, “us”, “our”).

By using the Service, you agree to these Terms.

1. Definitions

Service – the PayTradie platform
User – any person or business using the Service
Tradie – a user receiving payments
Customer – a person making payment

2. Nature of Service

PayTradie provides a technology platform that enables payment requests.

We:

  • Are not a bank or financial institution

  • Do not hold funds on behalf of users

  • Do not provide financial advice

All payments are processed by third-party providers.

3. User Obligations

You agree to:

  • Provide accurate information

  • Comply with all applicable laws

  • Use the Service for legitimate business purposes

You must not:

  • Engage in fraudulent, misleading, or unlawful activity

4. Payments & Settlement

  • Payments are processed by third-party providers

  • Settlement timing is not guaranteed

  • Funds may be delayed, held, or reversed

PayTradie is not responsible for delays caused by payment providers or banking systems.

5. Fees

  • Platform fee: 1% (subject to change)

  • Additional processing fees may apply

  • Fees may be updated with notice

6. Payout Holds & Delays (CRITICAL CLAUSE)

PayTradie reserves the right to:

  • Delay, withhold, or suspend payouts

  • Place holds on transactions or accounts

Where reasonably required for:

  • Fraud prevention or risk management

  • Suspected unlawful or suspicious activity

  • Chargeback exposure or disputes

  • Compliance with legal or regulatory obligations

We are not liable for any loss resulting from such actions.

7. Chargebacks & Disputes

  • All transactions are between you and your Customer

  • You are solely responsible for disputes, refunds, and chargebacks

  • PayTradie is not a party to the underlying transaction

8. Right to Recover Losses (VERY IMPORTANT)

If PayTradie incurs any loss, liability, chargeback, or cost arising from:

  • Your transactions

  • Your breach of these Terms

  • Fraudulent or unlawful activity

You agree that we may:

  • Recover amounts from future payouts

  • Debit amounts owed (where legally permitted)

  • Require immediate repayment

9. Service Availability

We do not guarantee uninterrupted or error-free service.

We may modify, suspend, or discontinue the Service at any time.

10. Limitation of Liability

To the maximum extent permitted by New Zealand law:

PayTradie excludes all liability for:

  • Indirect or consequential loss

  • Loss of revenue, profit, or business

  • Payment delays, failures, or reversals

  • Third-party provider issues

Where liability cannot be excluded, it is limited to:

Total fees paid to PayTradie in the previous 3 months.

11. Consumer Guarantees Act 1993

If you are using the Service for business purposes, you agree that:

  • The Consumer Guarantees Act 1993 does not apply

12. Indemnity

You agree to indemnify PayTradie against any claims, losses, or damages arising from:

  • Your use of the Service

  • Any dispute with your Customer

  • Your breach of these Terms

13. Suspension & Termination

We may suspend or terminate access at our discretion, including without notice, where risk or breach is identified.

14. Intellectual Property

All rights in the Service remain the property of Pay Tradie Limited.

15. Privacy

Use of the Service is subject to our Privacy Policy.

16. Governing Law

These Terms are governed by the laws of New Zealand.
You submit to the jurisdiction of New Zealand courts.

17. Changes

We may update these Terms at any time. Continued use constitutes acceptance.
